- Logos
- Brand Guidelines
- Documents
- Product Information
- Technical Requirements
- Login Credentials
- Domain Access
- Hosting Access
- API Keys
- Third-party Accounts
Delays in providing required information may affect project timelines.
6. Client Responsibilities
The client agrees to:
- Provide accurate project information.
- Review deliverables promptly.
- Respond to communication within a reasonable timeframe.
- Provide approvals when requested.
- Obtain rights for all content supplied.
- Maintain backups of their own data where appropriate.
- Ensure that all supplied materials do not violate any laws or third-party rights.
The client remains solely responsible for the legality and ownership of all materials submitted to Orannge.
7. Payment Terms
Payment schedules are defined within the project quotation or agreement.
Unless otherwise agreed:
- Advance payments are required before work begins.
- Milestone payments must be completed before subsequent work progresses.
- Final deliverables may be withheld until outstanding payments are cleared.
- Taxes, where applicable, shall be paid by the client.
Failure to make payments on time may result in:

8. Refund Policy
Due to the customised nature of digital services, payments made are generally non-refundable.
Refunds may only be considered in exceptional circumstances and solely at the discretion of Orannge.
Completed work, consultation hours, design efforts, research, development time and third-party costs are generally not eligible for refunds.
9. Project Timelines
Estimated timelines are based on:

10. Revisions

Revisions apply only to work within the approved scope.
Requests involving:

may be treated as additional work and quoted separately.
11. Intellectual Property
Unless otherwise agreed in writing:
Client-Owned Materials
The client retains ownership of:
- Logos
- Brand assets
- Business content
- Documents
- Images
- Existing intellectual property supplied by the client
Orannge-Owned Materials
Orannge retains ownership of:
- Internal development methodologies
- Frameworks
- Reusable code libraries
- Design systems
- Templates
- Proprietary tools
- Internal processes
- Technical know-how
- Automation systems
Ownership of custom project deliverables transfers only after full payment has been received, unless otherwise stated in writing.
12. Third-Party Services
Projects may involve third-party services including:
- Cloud providers
- Payment gateways
- Maps
- APIs
- Hosting providers
- Analytics platforms
- AI providers
- Communication platforms
These services operate under their own terms and policies.
Orannge is not responsible for:
- Service outages
- Pricing changes
- Policy updates
- Feature removals
- Data loss caused by third-party providers
13. Website Hosting and Domains
Where clients purchase hosting or domain services independently:
- The client remains the legal owner.
- Renewal responsibility remains with the client unless otherwise agreed.
- Orannge is not responsible for expiry due to missed renewals.
Where hosting is managed by Orannge, responsibilities will be governed by the applicable service agreement.
14. AI Services
Projects involving Artificial Intelligence may utilise third-party AI technologies.
Clients acknowledge that AI-generated outputs:
- May not always be accurate
- May require human verification
- May occasionally contain unexpected results
- Should not be relied upon as professional advice
Clients remain responsible for reviewing all AI-generated outputs before business or commercial use.
15. Confidentiality
Both parties agree to maintain confidentiality regarding non-public information exchanged during the project.
Confidential information includes but is not limited to:
- Business strategies
- Source code
- Financial information
- Customer information
- Login credentials
- Technical documentation
- Product roadmaps
Confidential information shall not be disclosed unless:
- Required by law
- Approved in writing by the other party
- Already publicly available through lawful means
16. Acceptable Use
Users agree not to:

18. Limitation of Liability

- Business interruption
- Reputation damage
- Third-party claims
Our total liability arising from any project shall not exceed the total amount paid by the client for the specific services giving rise to the claim.
19. Indemnification
The client agrees to indemnify and hold harmless Orannge, its employees, directors, contractors, and affiliates against claims, liabilities, damages, losses, costs and legal expenses arising from:
- Client-provided content
- Copyright infringement by supplied materials
- Misuse of delivered software
- Violation of applicable laws
- Brech of these Terms
20. Termination
Either party may terminate the engagement under circumstances including:
- Material breach of these Terms
- Non-payment
- Fraudulent activity
- Illegal use of services
- Mutual written agreement
Upon termination:
- Outstanding payments remain payable.
- Completed work may be delivered subject to payment.
- Access to ongoing development environments may be revoked.
- Confidentiality obligations shall continue to apply.
21. Force Majeure
Orannge shall not be liable for delays or failures caused by circumstances beyond reasonable control, including:
- Natural disasters
- Government actions
- War
- Civil unrest
- Pandemics
- Internet failures
- Power outages
- Cybersecurity incidents
- Labour disputes
- Failure of third-party infrastructure
Project timelines shall be extended for the duration of such events where necessary.
22. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws applicable to the jurisdiction in which Orannge is registered and operates.
Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts in that jurisdiction.
23. Changes to These Terms
